1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and KYC Compliance Platform ("Company," "we," "us," or "our") governing your access to and use of our KYC compliance platform and services.

By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

KYC Compliance Platform provides a software-as-a-service (SaaS) solution designed to help UAE accounting firms and businesses collect, manage, and verify customer Know Your Customer (KYC) information in compliance with UAE regulations.

Our services include:

• White-label branded KYC forms and customer portals
• Tokenized customer invitation and access system
• Secure document upload and storage
• Multi-step form with auto-save functionality
• Admin dashboard for managing KYC submissions
• PDF generation and digital signature workflow
• Comprehensive audit trail and compliance reporting

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our platform, you represent and warrant that you meet these eligibility requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Immediately notify us of any unauthorized use of your account
• Not share your account credentials with third parties

4. User Responsibilities

When using our platform, you agree to:

• Provide accurate and truthful information in all KYC submissions
• Upload only authentic and unaltered identity and business documents
• Comply with all applicable UAE laws and regulations
• Use the platform only for legitimate business purposes
• Not attempt to circumvent security measures or access unauthorized areas
• Not use the platform to transmit malware, viruses, or harmful code
• Not interfere with or disrupt the platform's operation
• Not impersonate any person or entity

5. Subscription and Payment Terms

5.1 Subscription Plans

We offer multiple subscription plans (Starter, Professional, Enterprise) with varying features and customer limits. Subscription fees are billed annually in advance.

5.2 Setup Fees

A one-time setup fee applies to all new accounts, covering platform deployment, company branding configuration, and initial training.

5.3 Payment

Payment is due upon subscription activation. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

5.4 Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time, but no refunds will be provided for the current billing period.

5.5 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Price changes will apply to renewals following the notice period.

6. Intellectual Property Rights

6.1 Our Property

The platform, including all software, designs, text, graphics, logos, and other content, is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain ownership of all content you upload to the platform, including customer data and documents. By using our services, you grant us a limited license to store, process, and display your content solely for the purpose of providing our services.

6.3 White-Label Branding

You may customize the platform with your company logo, colors, and contact information. You represent that you have the right to use any branding materials you upload.

7. Data Protection and Privacy

We are committed to protecting your privacy and the privacy of your customers. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You acknowledge that you are responsible for obtaining necessary consents from your customers for the collection and processing of their personal information through our platform.

8. Service Availability and Modifications

8.1 Availability

While we strive to provide continuous service availability, we do not guarantee uninterrupted access to the platform. We may temporarily suspend access for maintenance, updates, or emergency repairs.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for the accuracy or completeness of information provided by users
• We are not liable for any loss of data, business interruption, or lost profits

10. Indemnification

You agree to indemnify, defend, and hold harmless KYC Compliance Platform and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms or engage in conduct that we deem inappropriate or harmful.

Upon termination:

• Your right to access and use the platform will cease immediately
• You will remain liable for all fees accrued prior to termination
• We will provide you with an opportunity to export your data within 30 days
• We may delete your data after the export period, subject to legal retention requirements

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

Before initiating formal legal proceedings, you agree to attempt to resolve any disputes through good-faith negotiations with us.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on our platform. Your continued use of our services after such notice constitutes acceptance of the updated Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
